Terms and Conditions

1. Definitions

• "Account" means a registered CuebeeIQ user account.
• "Customer" means the legal entity or individual subscribing to the Platform.
• "Data" means all outputs, analytics, reports, scores, rankings, forecasts, summaries, AI-generated insights, and associated metadata generated through the Platform.
• "Third-Party Data Sources" means external providers used by CuebeeIQ, including but not limited to search engines, scraping infrastructure, and public web sources.
• "User Content" means any information submitted by Customer.
• "Subscription Plan" means the paid plan selected by Customer.

2. License Grant

CuebeeIQ grants Customer a:

• limited
• non-exclusive
• revocable
• non-transferable
• non-sublicensable

license to access and use the Platform solely for internal business purposes.

No ownership rights are transferred.

3. Restrictions on Use

Customer shall not:

• reverse engineer the Platform
• scrape or extract Platform outputs at scale
• reproduce or redistribute Data commercially
• create derivative competing products
• circumvent plan limitations
• exploit system vulnerabilities
• benchmark against competitors for publication without consent
• use automated bots against the Platform
• resell access without written authorization

Violation may result in immediate suspension.

4. Data Sources & Accuracy Disclaimer

CuebeeIQ aggregates and processes data obtained from third-party sources.

Customer acknowledges:

• rankings fluctuate continuously
• search engine outputs vary
• third-party data may contain inaccuracies
• data availability may change without notice

CuebeeIQ makes no guarantee of completeness, precision, uninterrupted availability, or predictive accuracy.

All insights are informational only.

Customer assumes sole responsibility for commercial decisions made using Platform outputs.

5. AI-Generated Content Disclaimer

CuebeeIQ may provide automated summaries, recommendations, forecasts, or analyses generated by artificial intelligence systems.

Customer acknowledges AI-generated outputs:

• may contain inaccuracies
• may be incomplete
• should not be relied upon as legal, financial, operational, or strategic advice

CuebeeIQ disclaims all liability arising from reliance on automated outputs.

6. No Business Guarantee

CuebeeIQ does not guarantee:

• revenue increases
• ranking improvements
• market share gains
• conversion uplift
• SEO performance outcomes
• competitive advantage

The Platform is an informational analytics tool only.

7. Customer Responsibilities

Customer is solely responsible for:

• verifying all outputs
• maintaining credential confidentiality
• lawful use of Platform data
• ensuring internal users comply with Terms

Customer remains liable for all activity under its account.

8. Subscription & Billing

Subscriptions renew automatically unless cancelled.

Customer authorizes recurring billing via selected payment provider.

Failure to pay may result in:

• suspension
• restricted access
• account termination

Fees are:

• non-refundable
• exclusive of taxes
• subject to change upon notice

Unused subscription periods are not refundable.

9. Fair Use Limits

CuebeeIQ may impose usage thresholds including:

• keyword volume caps
• API request caps
• processing frequency caps
• storage limits

Exceeding limits may result in:

• throttling
• overage fees
• plan upgrade requirements

We reserve sole discretion in enforcement.

10. Intellectual Property

CuebeeIQ owns all rights in:

• software
• architecture
• methodologies
• scoring systems
• derived models
• interfaces
• documentation

Customer retains rights to Customer Content.

Customer grants CuebeeIQ a worldwide license to process Customer Content to provide services.

11. Platform Modifications

CuebeeIQ may modify:

• features
• infrastructure
• UI
• APIs
• pricing
• integrations

at any time without liability.

We do not guarantee perpetual availability of any feature.

12. Service Availability

Platform is provided "as available."

We do not warrant uninterrupted operation.

We may suspend access for:

• maintenance
• upgrades
• outages
• abuse prevention
• legal compliance

No SLA applies unless separately agreed.

13. Third-Party Dependency Limitation

CuebeeIQ relies on third-party providers including search engines, hosting infrastructure, and data partners.

We are not liable for service interruptions caused by:

• provider outages
• API restrictions
• platform policy changes
• search engine algorithm changes
• legal restrictions affecting external data access

14. Confidentiality

Each party shall protect confidential information using commercially reasonable safeguards.

Exceptions:

• public information
• independently developed information
• legally compelled disclosure

15. Limitation of Liability

To the fullest extent permitted by law:

CuebeeIQ shall not be liable for:

• indirect damages
• lost profits
• business interruption
• loss of goodwill
• lost opportunity
• reliance losses
• data inaccuracies

Maximum aggregate liability shall not exceed:

the total fees paid by Customer in the preceding 3 months

This applies regardless of theory of liability.

16. Indemnification

Customer agrees to indemnify CuebeeIQ against claims arising from:

• unlawful use
• misuse of outputs
• Customer Content violations
• regulatory breaches caused by Customer conduct

17. Termination

CuebeeIQ may suspend or terminate access immediately for:

• breach of Terms
• suspected abuse
• payment failure
• legal risk exposure

Termination does not relieve unpaid obligations.

18. Data Deletion & Retention

Upon termination:

• access ends immediately
• data may be deleted after 30 days
• backups may persist temporarily

CuebeeIQ is not liable for deleted data after retention expiry.

19. Governing Law

These Terms are governed by the laws of:

United Kingdom

Disputes shall be subject to exclusive jurisdiction of courts in:

England and Wales

20. Force Majeure

CuebeeIQ is not liable for failures caused by:

• natural disasters
• cyberattacks
• internet outages
• regulatory intervention
• infrastructure failure
• acts beyond reasonable control

21. Changes to Terms

We may amend these Terms at any time. Continued use constitutes acceptance.

22. Entire Agreement

These Terms constitute the entire agreement and supersede prior understandings.
